Important: This document is a working draft. It has not yet been approved as Eylorin Technologies Limited’s final legal terms and should not be relied on as legal advice.
1. About these terms
These Terms of Service govern access to and use of eylorin.com and any public website, page, form, content, or online service that links to them (together, the “Website”). The Website is operated by Eylorin Technologies Limited (“Eylorin”, “we”, “us”, or “our”).
By using the Website, you agree to these terms. If you do not agree, do not use the Website. Separate product terms, a signed agreement, a statement of work, or our Standard Trading Terms may govern paid services and will take precedence for that engagement to the extent of any conflict.
2. Information, enquiries, and no automatic contract
Website content is provided for general information. Product descriptions, case studies, availability statements, estimates, and responses to enquiries are invitations to discuss and do not by themselves constitute a binding offer, guarantee, or contract. A commercial commitment arises only through a quotation, order, statement of work, or other agreement accepted by authorised representatives of the parties.
You are responsible for checking that information is suitable for your circumstances before acting on it.
3. Acceptable use
You may use the Website only lawfully and for its intended purposes. You must not:
- attempt to gain unauthorised access to the Website, accounts, systems, data, or infrastructure;
- introduce malware, harmful code, automated abuse, or excessive traffic;
- scrape, probe, scan, reverse engineer, or test vulnerabilities without prior written authorisation;
- impersonate another person, misrepresent authority, or submit false, unlawful, infringing, or misleading material;
- interfere with security, availability, integrity, or the lawful use of the Website by others; or
- use Website content in a way that infringes rights or violates applicable law.
4. Enquiries, applications, and submitted material
You must provide accurate information and submit only material you are authorised to provide. Employment applications do not guarantee an interview, offer, or appointment. Enquiries and applications are handled under our Privacy Policy and Notice and any notice shown at the point of collection.
You retain ownership of material you submit. You grant Eylorin a limited, non-exclusive licence to receive, copy, review, store, and use it only as reasonably necessary to respond to your request, assess an application, protect the Website, comply with law, or exercise legal rights.
5. Intellectual property
The Website, its design, software, text, graphics, logos, product identities, audio-visual material, and other content are owned by or licensed to Eylorin and are protected by applicable intellectual-property laws. Except as permitted by law, you may not reproduce, modify, distribute, publish, sell, license, or create derivative works from Website content without prior written permission.
You may link to public pages fairly and lawfully, provided the link does not imply endorsement, partnership, or approval where none exists.
6. Third-party services and links
The Website may link to or rely on third-party services. Those services are governed by their own terms and privacy practices. Eylorin does not control and is not responsible for third-party content, availability, security, or conduct. A link does not imply endorsement.
7. Availability and changes
We may update, suspend, restrict, or withdraw any part of the Website for maintenance, security, legal, operational, or business reasons. We do not promise uninterrupted or error-free availability. We may change these terms by publishing an updated version and effective date. Changes apply prospectively unless applicable law requires otherwise.
8. Disclaimers
To the fullest extent permitted by law, the Website is provided “as is” and “as available”. We exclude implied warranties concerning accuracy, completeness, fitness for a particular purpose, non-infringement, and continuous availability. Nothing on the Website constitutes legal, financial, tax, investment, medical, or other regulated professional advice.
9. Limitation of liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation. Subject to that qualification, Eylorin will not be liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profits, revenue, business, opportunity, goodwill, anticipated savings, or data, arising from public use of the Website.
10. Privacy, cookies, and security
Our Privacy Policy and Notice explains how we handle personal data. Cookie choices are described through the Website’s cookie controls. You must not send confidential, highly sensitive, or special-category information through a general enquiry form unless we specifically request it through an appropriate channel.
11. Governing law and disputes
These terms are governed by the laws of Uganda. Before starting formal proceedings, you and Eylorin should first try in good faith to resolve a dispute through written notice and reasonable discussion. Subject to any mandatory rights or jurisdiction, the courts of Uganda will have jurisdiction.
12. General
If any provision is held unlawful or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue. A delay in enforcing a right is not a waiver. These terms do not create an agency, employment, partnership, or joint venture relationship.
